Please read this page carefully. It governs your use of ValueStock research. By accessing, purchasing or relying on any ValueStock content you accept the terms set out below.
1. No investment advice
All content published by ValueStock is general financial publishing, provided for informational and educational purposes only. It is not investment advice, not a recommendation, not a solicitation, and not an offer to buy or sell any security or other financial instrument. Nothing we publish is tailored to any individual. We do not know your financial position, objectives, tax situation, time horizon or risk tolerance, and our content does not take them into account. You must not treat any ValueStock content as a substitute for personalised advice from a licensed professional.
2. No adviser relationship and no fiduciary duty
ValueStock is an independent publisher of impersonal research. It is not a registered investment adviser, broker-dealer, investment bank, fund manager or financial planner in any jurisdiction, and does not hold itself out as one. Using this site, subscribing, or corresponding with us does not create an adviser-client, fiduciary, agency or professional relationship of any kind. We owe you no fiduciary duty and accept no discretionary authority over any account or asset.
3. Your decisions are your own
You are solely responsible for your own investment decisions and for independently verifying any information before acting on it. You should consult a licensed financial adviser, tax adviser and legal counsel in your jurisdiction before making any investment decision. Any action you take on the basis of our content is taken entirely at your own risk.
4. Risk of loss
Investing in securities involves substantial risk, including the possible loss of your entire principal. Securities can lose value rapidly and without warning. Smaller companies, concentrated positions and illiquid securities carry heightened risk. Past performance is not indicative of, and does not guarantee, future results. No representation is made that any account will or is likely to achieve profits or losses similar to those discussed. We do not guarantee any outcome or return, or that any thesis will prove correct.
5. Estimates and forward-looking statements
Our reports contain opinions, estimates, projections, valuations, fair-value figures and forward-looking statements. These are inherently uncertain, rest on assumptions that may prove incorrect, and are not statements of fact. Actual results may differ materially. Fair-value estimates and conviction ratings reflect our opinion at a specific date and price only. Any calculators or tools we provide produce illustrative outputs based on inputs you choose, and are not predictions.
6. No duty to update
Our views change as the evidence changes. We are under no obligation to update, revise, correct or withdraw any report, rating or statement after publication, or to notify you if our opinion changes. Content should be read as accurate only as of its stated publication date.
7. Sources, data and accuracy
Our research draws on public filings, audited financials, market data and third-party data providers believed to be reliable. We do not independently audit that information and we do not warrant that any content is complete, accurate, current or free from error. Third-party data may be delayed, inaccurate or incomplete. Any screening tools or datasets are provided for research convenience only and must not be relied on as a definitive record.
8. No warranty
All content and services are provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including without limitation any implied warranty of merchantability, fitness for a particular purpose, accuracy, title or non-infringement. We do not warrant that the site will be uninterrupted, secure or free from error.
9. Limitation of liability
To the fullest extent permitted by applicable law, ValueStock and its owners, officers, employees, contractors and contributors shall not be liable for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, nor for any loss of profits, revenue, capital, data or goodwill, nor for any investment loss, arising out of or relating to your use of or reliance on the site or any content, whether founded in contract, tort, negligence, strict liability or otherwise, and even if we have been advised of the possibility of such damages. Where liability cannot lawfully be excluded, our aggregate liability to you is limited to the amount you paid us in the twelve months preceding the claim.
10. Indemnity
You agree to indemnify and hold harmless ValueStock and its personnel against any claim, demand, loss, liability or expense, including reasonable legal fees, arising from your use of the site, your investment decisions, your breach of these terms, or your violation of any law or third-party right.
11. Conflicts of interest and positions held
ValueStock and its personnel may hold, acquire or dispose of positions in securities covered by our research, and may do so at any time without notice. Any position held in a covered security at the time of publication, and any other material conflict of interest, is disclosed within the relevant report. We accept no payment, compensation or other inducement from any company, promoter, investor relations firm or third party in exchange for coverage, for a particular conclusion, or for the timing of a report. We do not engage in paid promotion of securities.
12. Analyst certification
Each report reflects the personal views of the analyst who reviewed and approved it about the subject company and its securities. No part of any analyst's compensation is, directly or indirectly, tied to the specific ratings or views expressed in any report.
13. No offer, and jurisdictional limits
Nothing on this site constitutes an offer or solicitation to buy or sell securities in any jurisdiction in which such an offer, solicitation or distribution would be unlawful, or to any person to whom it would be unlawful to make it. Our content is not directed at, and is not intended for use by, any person in any jurisdiction where its publication or availability would breach applicable law or regulation. It is your responsibility to ensure that your use of the site complies with the laws that apply to you. Securities referenced may not be eligible for sale in your jurisdiction.
14. Intellectual property and permitted use
All reports, tools, data compilations, text, graphics and design are the property of ValueStock and are protected by copyright and other intellectual property laws. A purchase or subscription grants you a personal, non-exclusive, non-transferable, revocable licence to access the content for your own individual use only. You may not copy, redistribute, republish, resell, share account credentials, post publicly, scrape, or use our content to train or fine-tune any machine learning model, without our prior written consent. Unauthorised distribution may result in termination without refund and in legal action.
15. Third-party links and content
The site may link to third-party websites, data or services. We do not control, endorse or assume responsibility for any third-party content, product, privacy practice or availability, and we are not liable for any loss arising from your use of them.
16. Influences and attribution
Where we reference investors, academics or authors whose work has influenced our approach, those references describe an intellectual tradition only. They do not imply any affiliation with, sponsorship by, review by, or endorsement from those individuals or their organisations.
17. Changes to these disclosures
We may amend these disclosures at any time by posting an updated version with a revised date. Your continued use of the site after a change constitutes acceptance of the amended terms.
18. Governing law
These disclosures, and any dispute arising out of or in connection with them or with your use of the site, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws rules, and you submit to the exclusive jurisdiction of the courts of the Province of Ontario. If any provision is held unenforceable, the remaining provisions continue in full force.
